1. Acceptance of Terms

By accessing or using the Midknight platform ("Service"), available at midknight.ai, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (or the company you represent) and Midknight ("Midknight", "we", "us", "our").

By creating an account, you confirm that:

  • You are at least 18 years old

  • You have the authority to bind the company on whose behalf you are registering

  • You have read and accepted our Privacy Policy

2. Description of Service

Midknight is an AI-powered operational platform that deploys autonomous AI agents ("knights") into the operations of direct-to-consumer (DTC) brands. The Service currently includes the following agents:

  • Customer Support Knight - autonomous ticket handling

  • Social Ads & SEA Knight - Ads monitoring and optimization

  • SEO & content Knight - keyword analysis and content production

  • Signal Knight - Retention management and CRM marketing automation

  • Smart reporting Knight - daily consolidated operational reporting

The Service integrates with third-party platforms including Shopify, Intercom, Meta Ads, Klaviyo, Google workspace, Google Search Console, Instagram, Semrush and more. Midknight does not own or control these platforms.

3. Account Registration

To use the Service, you must create an account by providing your name and email address. You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity that occurs under your account

  • Notifying us immediately of any unauthorized use at hello@midknight.ai

Midknight reserves the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

4.1 Plans

Midknight offers subscription plans billed on a monthly basis.

4.2 Payment

Payments are processed securely by Stripe. By subscribing, you authorize Midknight to charge your payment method on a recurring monthly basis.

4.3 Free tier

A free tier may be available subject to usage limits specified on the pricing page.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days within a billing period.

4.5 Price changes

Midknight may modify pricing with 30 days' notice. Continued use of the Service after the notice period constitutes acceptance of the new pricing.

5. Human-in-the-Loop and Approved Actions

Midknight operates on a human-in-the-loop model. Certain actions taken by your knights require your explicit approval before execution. You are responsible for:

  • Reviewing and approving recommended actions in a timely manner

  • Configuring each knight's autonomy settings appropriately for your business

  • Any consequences arising from actions you approve

Midknight is not liable for outcomes resulting from actions you have explicitly approved.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation

  • Infringe the intellectual property rights of any third party

  • Transmit harmful, fraudulent, or misleading content

  • Attempt to reverse-engineer, decompile, or extract the source code of the platform

  • Use the Service in a way that could damage, disable, or impair Midknight's infrastructure

  • Resell or sublicense access to the Service without prior written consent from Midknight

Midknight reserves the right to suspend access immediately for violations of this section.

7. Third-Party Integrations

The Service connects to third-party platforms on your behalf. By connecting these platforms, you:

  • Confirm that you have the rights and permissions necessary to share that data with Midknight

  • Authorize Midknight to access, read, and act on data from those platforms solely for the purpose of delivering the Service

  • Acknowledge that Midknight is not responsible for the availability, accuracy, or performance of third-party platforms

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy, available at midknight.ai/privacy. By using the Service, you agree to the collection and use of data as described therein.

8.1 Your data

You retain full ownership of your data and your customers' data. Midknight processes this data solely to deliver the Service.

8.2 AI model training

Midknight does not use your data or your customers' data to train AI models without your explicit consent.

8.3 Data deletion

Upon cancellation, your data is permanently deleted within 30 days as described in the Privacy Policy.

9. Intellectual Property

9.1 Midknight IP

All intellectual property rights in the Service, including the platform, AI agents, software, design, and content, are owned by Midknight. Nothing in these Terms transfers any IP rights to you.

9.2 Your IP

You retain all intellectual property rights in the data, content, and materials you provide to Midknight. You grant Midknight a limited, non-exclusive license to use that data solely to deliver the Service.

9.3 Feedback

If you provide feedback or suggestions about the Service, Midknight may use this feedback without restriction or compensation to you.

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service, and not to disclose it to third parties without prior written consent, except as required by law.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Midknight does not warrant that:

  • The Service will be uninterrupted, error-free, or completely secure

  • The results obtained from using the Service will be accurate or reliable

  • Any specific business outcomes will be achieved

Use of the Service is at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Midknight shall not be liable for:

  • Indirect, incidental, special, or consequential damages

  • Loss of profits, revenue, data, or business opportunities

  • Damages arising from your reliance on AI-generated outputs or approved agent actions

Midknight's total cumulative liability to you for any claim arising from or related to the Service shall not exceed the amount you paid to Midknight in the 3 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Midknight and its founders, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Actions approved by you and executed by your knights

14. Term and Termination

14.1 Term

These Terms remain in effect for as long as you have an active account or subscription.

14.2 Termination by you

You may terminate your account at any time by cancelling your subscription and contacting hello@midknight.ai.

14.3 Termination by Midknight

Midknight may suspend or terminate your access immediately if:

  • You materially breach these Terms

  • You fail to pay amounts due

  • Continued access poses a legal, security, or reputational risk to Midknight

14.4 Effect of termination

Upon termination, your access to the Service ceases immediately. Your data will be deleted within 30 days as described in the Privacy Policy.

15. Governing Law and Disputes

These Terms are governed by the laws of France, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.

16. Changes to These Terms

Midknight may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

17. Miscellaneous

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Midknight regarding the Service.

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

  • No waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that right.

  • Assignment: You may not assign your rights under these Terms without Midknight's prior written consent.
